Terms of Service

These Terms of Service ("Terms") govern your access to and use of RotoAlpha, a fantasy-sports analytics service operated by Magrathea Software, LLC ("RotoAlpha", "we", "us", or "our"). Please read them carefully.

1. Acceptance of these Terms

By creating an account, accessing, or using RotoAlpha, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the service. You must be at least 18 years old to use RotoAlpha.

2. The Service

RotoAlpha provides fantasy-sports analytics tools, including player projections, valuations, draft-preparation aids, and in-season decision support. The service is informational. It does not guarantee any fantasy result, and you are solely responsible for the decisions you make in your leagues.

3. Your Account

You must provide accurate information when you register and keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Subscriptions, Billing, and Cancellation

RotoAlpha is offered on paid subscription plans billed monthly or annually at the prices shown at sign-up. Paid plans renew automatically at the end of each billing period unless you cancel before the renewal date. Payments are processed by a third-party payment processor; by subscribing you also agree to that processor's terms.

You may cancel at any time from within the application. Monthly plans stop at the end of the current billing month; annual plans remain active through the end of the paid term. Except where required by law or expressly stated, payments are non-refundable, apart from the satisfaction guarantee described below.

Satisfaction guarantee. If RotoAlpha does not meet your expectations, you may request a full refund by contacting us within seven (7) days of your first live draft conducted with the service.

5. User Content and Uploaded Data

RotoAlpha lets you upload your own data, including projection files, and connect third-party fantasy platforms to import your league data (collectively, "User Content").

By uploading or importing User Content, you represent and warrant that you have all rights necessary to provide it to RotoAlpha and to have it processed as described in these Terms, and that doing so violates no law and no agreement with a third party. You must not upload data you are not permitted to use.

You retain ownership of your User Content. You grant RotoAlpha a limited, non-exclusive, worldwide license to store, process, and display that User Content solely to provide the service to you. We do not display your uploaded data to other users and do not redistribute it.

You agree to indemnify and hold RotoAlpha harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of User Content you upload or import, or out of your breach of this section.

6. RotoAlpha Intellectual Property

The RotoAlpha service, software, design, and the projections and analytics that RotoAlpha generates are owned by RotoAlpha and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for your personal, non-commercial fantasy use. You may not resell, redistribute, or sublicense the service or its output.

7. Acceptable Use

You agree not to:

• use the service for any unlawful purpose;
• scrape, crawl, or bulk-extract data from the service, or access it through automated means except as we expressly permit;
• reverse engineer, decompile, or attempt to derive the source code of the service;
• interfere with or disrupt the integrity or performance of the service; or
• share your account with, or resell access to, anyone else.

8. Third-Party Platform Connections

RotoAlpha can connect to third-party fantasy-sports platforms at your direction to import your league data. You authorize those connections, and your use of each platform remains governed by that platform's own terms. RotoAlpha is not responsible for third-party services and is not affiliated with or endorsed by them.

9. Copyright and DMCA Policy

RotoAlpha respects intellectual-property rights and expects its users to do the same. If you believe content available through the service infringes your copyright, send a written notice to our designated agent at legal@rotoalpha.com that includes: your contact information; identification of the copyrighted work; identification of the allegedly infringing material and its location; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are authorized to act; and your physical or electronic signature.

We will respond to valid notices as required by the Digital Millennium Copyright Act, including by removing infringing material and offering a counter-notice process. In appropriate circumstances we will terminate the accounts of users who are repeat infringers.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. RotoAlpha does not warrant that projections, valuations, or advice will be accurate or will produce any particular fantasy outcome. RotoAlpha is an independent service and is not affiliated with, endorsed by, or sponsored by Major League Baseball, the National Football League, any of their teams, or any fantasy platform.

11. Limitation of Liability

To the maximum extent permitted by law, RotoAlpha and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid to RotoAlpha in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless RotoAlpha and its operators from any claim or demand, including reasonable legal fees, arising out of your use of the service, your User Content, or your violation of these Terms or of any law or third-party right.

13. Termination

You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the service. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the service after the changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Missouri for any dispute not otherwise resolved.
